Terms & Conditions of Website Use and Wholesale Trading
MOLRS Wholesale Limited
Website: www.molrswholesale.co.uk
Last updated: 22 October 2026
1. Introduction
These Terms & Conditions govern the use of the MOLRS website and the supply of goods by MOLRS Wholesale Limited ("MOLRS", "we", "us" or "our") to business customers ("Customer", "you" or "your").
MOLRS operates as a wholesaler and e-commerce supplier of cosmetics, skincare, haircare, personal care and other fast-moving consumer goods.
By using our website, you agree to the website provisions of these Terms & Conditions. Where you purchase goods from MOLRS, our wholesale trading terms will apply when incorporated into the agreement between us.
2. Business Customers
MOLRS supplies goods for business and commercial purposes.
Our wholesale services are intended for retailers, e-commerce businesses, salons and other commercial customers purchasing goods in the course of business.
We may request reasonable information to verify a customer's business identity before accepting an order.
Our wholesale trading terms are intended for business-to-business transactions and not consumer purchases. Nothing in these terms excludes rights that cannot legally be excluded.
3. Product Information and Availability
We aim to provide accurate information about the products and brands we supply.
However, product descriptions, images, specifications, packaging, availability and prices displayed or communicated by MOLRS may be subject to change before order acceptance.
Product images are for identification and illustration. Packaging and presentation may vary, provided the supplied goods conform to the agreed contractual description.
Not all products or brands displayed on our website are necessarily held in stock or available for immediate delivery.
Some products are sourced specifically against customer requirements.
All product availability is subject to confirmation by MOLRS.
4. Quotations and Pricing
Prices and quotations are provided based on the customer's requirements, requested quantities, product availability and applicable supply conditions.
Unless otherwise stated in writing:
Prices are quoted in pounds sterling (GBP).
VAT is excluded from quoted prices and will be charged where applicable.
Delivery, customs charges and other applicable costs are quoted separately where relevant.
Quotations are subject to the validity period specified in the quotation.
A quotation does not constitute acceptance of an order.
MOLRS may amend or withdraw an unaccepted quotation.
Once an order has been accepted, the agreed price will apply unless a subsequent variation is agreed between the parties.
5. Orders and Order Acceptance
Customers may submit product enquiries and purchase requests through the website, email or other agreed communication channels.
Submitting an enquiry or purchase request does not automatically create a binding agreement.
An order becomes binding when MOLRS expressly accepts it in writing or otherwise confirms acceptance under an agreed ordering process.
We reserve the right to decline an order before acceptance, including where products are unavailable, customer information cannot be verified or the proposed transaction cannot reasonably be fulfilled.
6. Minimum Order Quantities
Minimum order values and quantities may vary depending on the product, brand, supplier or purchasing arrangement.
Any applicable minimum quantities, case requirements or purchasing conditions will be communicated before order acceptance.
7. Payment Terms
Payment arrangements will be confirmed in writing before an order is accepted.
MOLRS may require a deposit before commencing product sourcing, purchasing or order preparation. The deposit amount or percentage will be agreed with the customer and confirmed in the quotation or order confirmation.
Unless alternative payment terms are expressly agreed, the remaining balance must be received in cleared funds before goods are dispatched.
Deposits form part of the total order price. Where an accepted order is cancelled, the treatment of any deposit will be determined in accordance with Section 12, the agreed order terms and applicable law.
Orders may be placed on hold if an agreed payment is overdue.
For qualifying late commercial payments, MOLRS reserves the right to claim statutory interest and recovery costs where permitted by applicable legislation.
8. Product Sourcing and Lead Times
Certain products may be sourced or purchased specifically to meet customer orders.
Lead times may vary depending on supplier availability, purchasing schedules, international transport, customs processing and delivery arrangements.
Any estimated lead time will be communicated before order acceptance where reasonably possible.
Estimated delivery dates are not guaranteed unless expressly agreed in writing as binding deadlines.
If a material delay occurs, MOLRS will inform the customer and discuss the available options, taking account of the terms of the accepted order and applicable law.
9. Delivery
Delivery arrangements, destinations and applicable charges will be agreed before order acceptance.
Customers must provide accurate and complete delivery information and ensure that suitable arrangements exist to receive the goods.
Where delivery requires pallet access, unloading equipment, advance booking or other special arrangements, the customer must notify MOLRS before the order is confirmed.
MOLRS will take reasonable steps to arrange delivery in accordance with the agreed terms.
Responsibility for transport costs, unloading and any applicable import charges will be specified in the quotation or order confirmation.
Ownership and risk are addressed separately in Section 10.
10. Risk and Ownership
Unless otherwise agreed in writing, risk of loss of or damage to the goods passes to the customer upon delivery to the agreed delivery location.
Ownership of the goods remains with MOLRS until full payment for those goods has been received in cleared funds.
Until ownership passes, the customer must take reasonable care of the goods, keep them appropriately identifiable where practicable and must not grant security over them.
This section is subject to applicable law and any expressly agreed delivery terms.
11. Inspection, Shortages and Damaged Goods
Customers should inspect deliveries promptly upon receipt.
Any visible transport damage, missing cartons or apparent discrepancies should be recorded on the delivery documentation where reasonably possible.
Customers are requested to notify MOLRS of apparent shortages, incorrect goods or visible damage within three (3) calendar days of delivery.
Notifications should include the order or invoice reference, product details, quantities affected and relevant photographs or supporting evidence where available.
Concealed damage or defects discovered subsequently should be reported promptly after discovery.
We will investigate reported discrepancies and, where a valid claim is established, arrange an appropriate remedy having regard to the circumstances and applicable law.
Failure to meet the requested notification timeframe will not automatically exclude a claim where doing so would be unlawful or unreasonable.
12. Returns and Cancellations
Wholesale orders are supplied for business purposes.
Customers do not have an automatic consumer-style cooling-off right in respect of business purchases.
Cancellation requests must be submitted in writing and are subject to prior approval by MOLRS unless the customer has a legal or contractual right to cancel.
Orders involving products specifically sourced or purchased for a customer may incur reasonable, evidenced costs already committed or incurred where permitted by the agreed contract and applicable law.
Where cancellation is agreed, any refund or deposit adjustment will be confirmed after taking account of applicable costs and contractual obligations.
Returns of correctly supplied, non-defective goods are not automatically accepted and require prior written authorisation from MOLRS.
Where a voluntary return is authorised, the applicable conditions, including return transport costs and any agreed handling charges, will be communicated to the customer.
Where goods are defective, incorrectly supplied or otherwise fail to meet the agreed contract, MOLRS will assess the matter and provide the remedy required by the contract and applicable law.
No goods should be returned without first contacting MOLRS to obtain return instructions, except where the law provides otherwise.
13. Product Authenticity and Resale
MOLRS supplies genuine, authentic branded products.
Customers are responsible for ensuring that their resale activities comply with applicable laws, marketplace policies, intellectual property rights and destination-market requirements.
Unless expressly confirmed in writing, the supply of branded products does not represent or imply that the customer is an authorised reseller appointed by the relevant brand.
Customers must not make misleading claims regarding their relationship with MOLRS, manufacturers or brand owners.
Product alterations, relabelling and repackaging must comply with applicable legal requirements.
14. International Orders
International enquiries are considered subject to product availability, commercial suitability and applicable legal requirements.
Delivery charges, import duties, taxes, customs procedures and related responsibilities will be specified in the agreed quotation or order confirmation.
Customers are responsible for complying with the laws and product requirements applicable to their destination market to the extent agreed and required by law.
Any agreed Incoterms must be expressly identified in the order documentation, including the applicable version.
MOLRS reserves the right to decline transactions that may breach export controls, trade restrictions or other applicable laws.
15. Liability
Nothing in these Terms & Conditions excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or any other liability that cannot lawfully be excluded or limited.
Subject to the above, neither party will be liable for losses to the extent that such losses are not recoverable under applicable law or have been validly excluded under the agreed contract.
Any specific financial cap on liability, or exclusion of particular categories of business loss, must be expressly agreed and comply with applicable law.
16. Events Beyond Reasonable Control
Neither party will be responsible for failure or delay in performing obligations to the extent caused by events beyond its reasonable control, provided it takes reasonable steps to minimise the impact and notifies the other party promptly.
Such events may include severe transport disruption, natural disasters, government restrictions and significant interruptions to supply chains.
This provision does not automatically excuse payment obligations already due.
Where the disruption materially affects an order, the parties will discuss appropriate arrangements, including revised delivery or cancellation where permitted by their contract and applicable law.
17. Website Use
Visitors may use the MOLRS website for lawful purposes, including obtaining information about our business and submitting commercial enquiries.
Users must not misuse the website, attempt unauthorised access, introduce malicious software or interfere with its operation.
We endeavour to maintain accurate, accessible information but do not guarantee uninterrupted website availability.
We may update, modify or remove website content without prior notice.
18. Intellectual Property
Website content, branding, designs, text and original materials belonging to MOLRS are protected by applicable intellectual property laws.
Third-party trademarks, brand names and product imagery remain the property of their respective rights holders.
References to third-party brands do not imply a direct affiliation, endorsement or authorised partnership unless expressly stated.
Website users may not reproduce or commercially exploit content without the necessary permission.
19. Privacy and Cookies
Personal information submitted through the website will be handled in accordance with our separately published Privacy & Cookie Policy and applicable data protection law.
Customers and website visitors should review that policy for further information about the collection and use of personal data.
20. Changes to These Terms
MOLRS may update these Terms & Conditions from time to time.
Changes to website-use terms take effect when published, subject to applicable law.
For orders already accepted, the applicable contractual terms will not be changed unilaterally unless the parties have validly agreed otherwise.
21. Governing Law and Disputes
These Terms & Conditions and qualifying wholesale contracts are governed by the laws of England and Wales, unless otherwise expressly agreed in writing or required by applicable law.
The parties will first seek to resolve disputes through good-faith communication.
Subject to applicable law and any mandatory jurisdiction rules, the courts of England and Wales will have jurisdiction over disputes arising from these terms.
